HE-5 Resources Corp Updates on the Latest Developments: LOI and Possible Hostile Takeover

NEW YORK--HE-5 Resources Corp. (Other OTC: HRRN) desires to inform its shareholders of the content of the counter proposal of the 5th of May 2010 that was given to the private company’s LOI (Letter of Intent), received on April 29th, 2010. We would like to elaborate further on the counterproposal, which consisted of two parts. The first involved a requirement that they purchase on the open market, a certain number of shares at a premium over the current price, for HE-5 Resources Corp. considers the present share price undervalued, while allowing shareholders the liberty to decide on their position. The second part concerned the creation and funding of an international marketing structure encompassing a sizeable call center to accelerate the sales penetration of our Triple Crown CRM software suites in the global market. This second part would encompass possible exclusive distribution agreements for certain regions of the world.

For now, the negotiations are ongoing, but the board of directors remains convinced, after a detailed stock market chart analysis of the last few weeks that HE-5 Resources is facing some form of Hostile Takeover. Management would like to point out that we are disposed to negotiate with the parties involved, but always keeping in mind the best interest of the Corporation and its shareholders. We further emphasize that we have no intention of selling our source codes or complete architecture of our software programs.
