Possible Hostile Takeover and LOI - Interest Shown in HE-5 Resources Corp’s Platform!

NEW YORK--(BUSINESS WIRE)--HE-5 Resources Corp. (Other OTC: HRRN) would like to inform its shareholders that the board of directors has realized that the company is possibly being the subject of an aggressive hostile takeover. The company is in a dual situation and the board will convene today with legal counsel and decide on which course of action to undertake. One option would be to put in place a plan to buy back HE-5 Resources shares, while the alternative would be to sell one of our software platforms.

Thus we would pursue the interest that has been shown, for we have been approached by a private company which is considering offering a letter of intent (LOI). This proposal will be contingent on their board approval, which is meeting this Thursday, April 29^th.

The LOI will define the financial implications being discussed, in which capacity the proposed offer would impact HE-5 Resources and the timing of the commencement of the next round of discussions. The business agreement contemplated is subject to negotiation and execution of a definitive written agreement. Upon receipt of a formal LOI, the board will take a decision in the best interest of our shareholders and we will be pleased to disclose further details.
